Terms and Conditions
Offering and Governing Provisions.
CDI Torque, a division of Snap-on Logistics Company ("CDI") is pleased to offer repair services for the tools and equipment manufactured or marketed by CDI ("Product"), subject to the following terms and conditions. Customer's placement of a service order for a Product repair constitutes Customer's unconditional acceptance of the following terms and conditions. These terms and conditions are subject to change without prior written notice at any time and in CDI's sole discretion.
Shipping.
CDI strongly encourages you to send Product for repair with a tracking number or delivery confirmation number. CDI recommends that you (1) use a carrier that offers shipment tracking for all returns; (2) either insure your package for safe return to CDI or declare the full value of the shipment so that you are completely protected if the shipment is lost or damaged in transit; and (3) pack and package the Product securely and carefully to prevent damage during shipping CDI is not responsible for lost or damaged returns.

If you choose not to (1) use a carrier that offers tracking or (2) insure or declare the full value of the product, you will be responsible for any loss or damage to the Product during shipping. Replacement or refund will not be issued unless a valid proof of delivery can be provided. Loss or damage that occurs during shipping by a carrier selected by CDI is CDI's responsibility. Loss or damage that occurs during shipping by a carrier selected by Customer is Customer's responsibility.

The cost of the Return shipment of the Product to Customer shall be included in the CDI FSC Flat Rate Repair Price (as defined in Section 5). In the event the return shipment has not been received within 14 days of the billing (hard charge) to the credit card or notice of shipping of the return of the Product to Customer, the customer must contact CDI so a tracer can be initiated on the shipment. Typically, customers receive their parcel post and priority parcel post shipments within 10-14 business days, however parcel post shipments have been documented of up to 6-8 weeks for delivery. Tracers on shipments through the US Postal Service cannot be done until 8 weeks from the shipment date.

LIMITATION OF LIABILITY. CDI AND ITS AFFILIATED COMPANIES AND THIRD PARTY SUPPLIERS SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSSES, COSTS OR DAMAGES INCURRED BY BUYER OR OTHERS, DIRECTLY OR INDIRECTLY ARISING FROM THE SALE, HANDLING OR USE OF THE PRODUCTS AND/OR GEAR, OR FROM ANY OTHER CAUSE WITH RESPECT TO THE PRODUCTS AND/OR GEAR OR THE FOREGOING WARRANTY, WHETHER SUCH CLAIM IS BASED UPON BREACH OF CONTRACT, BREACH OF WARRANTY, STRICT LIABILITY IN TORT, NEGLIGENCE OR ANY OTHER LEGAL THEORY (INCLUDING WITHOUT LIMITATION, LOST PROFITS, REVENUES, ANTICIPATED SALES, BUSINESS OPPORTUNITIES, GOODWILL, OR INTERRUPTION OF BUSINESS OR OTHER INJURY OR DAMAGE).
Repairs.
Product sent by the customer to CDI for repair will be returned to the manufacturer’s original specifications and ASME accuracy or better, repairing and replacing defective parts when necessary, and performing hardware or firmware modifications if required (“CDI FSC Flat Rate Repair”). CDI makes changes and improvements to Products from time to time. CDI shall not incur an obligation to make such changes or improvements to older Product. If the CDI FSC Flat Rate Repair is to be made to a Product under an existing warranty, a copy of the original purchase receipt showing the date of purchase must be included with the Product.
Repair Pricing.
Except as provided in these Terms and Conditions of Service, the cost for CDI FSC Flat Rate Repair for a Product shall be the flat repair price for such particular Product as published on the TDI repair website (____________.com) (“CDI FSC Flat Rate Repair Price”). Certain repairs may exceed the CDI FSC Flat Rate Repair Price. In such cases, CDI will notify Customer of such additional cost before proceeding with the repair. CDI FSC Flat Rate Repair Prices are subject to change without prior written notice at any time and in CDI's sole discretion. CDI FSC Flat Rate Repair Prices are shown in U.S. dollars and apply to service in the U.S. only. Customer must contract CDI for pricing for Product shipped to CDI from outside of the U.S.
Warranty.
CDI warrants that Product repair will be free from defects in workmanship and materials for the longer of (1) 90-days from the date that the Customer receives the repaired Product; or (2) the original warranty period of the Product. This warranty only extends to the original Customer and cannot be transferred or assigned. The warranty as to the calibration of the Product shall expire after first use following repair.

During the applicable duration of the warranty, at its option, CDI will repair or replace its Products which fail to give satisfactory service due to defective workmanship or materials, or provide a refund by repaying or crediting Customer with an amount equal to the CDI FSC Flat Rate Repair Price paid to repair the Product. Repair, replacement or refund shall be at the election and expense of CDI, and is Customer's exclusive remedy in place of all other rights and remedies. To obtain warranty service, return products to CDI. By repairing or replacing a Product, or providing a refund, CDI does not waive a claim that a Product nevertheless has been subject to abnormal use.

CDI does NOT provide any warranty for Products subjected to "abnormal use". "Abnormal use" includes misuse, accident, modification, unreasonable use, abuse, neglect, lack of maintenance, use in product-related service, or use after the product is significantly worn.

Delay.
CDI and its affiliates and third party suppliers shall not be liable for any damage as a result of any delay or failure to deliver due to any cause beyond CDI's or its third party supplier's reasonable control, including, without limitation, any act of God, act of Customer, embargo or other governmental act, regulation or request, fire, accident, strike, slowdown, war, riot, delay in transportation, or inability to obtain necessary labor, materials or manufacturing facilities. In the event of any such delay, the date of delivery shall be extended for a period equal to the time lost because of the delay. Customer's exclusive remedy for other delays and for CDI's or its third party supplier's inability to deliver for any reason shall be rescission of the sale of Product and/or Gear.
Governing Laws. These terms and conditions, and use of this website, shall be governed by and construed in accordance with the laws of the State of California, without reference to principles of conflicts of laws. Any provision which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability of such provision in any other jurisdiction.
Miscellaneous.
If any part of these Terms and Conditions is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Any information related to your use of this Site for illegal purposes will be provided to law enforcement authorities. These Terms and Conditions constitute the entire agreement between the parties relating to the use of this Site and services provided by CDI and supercede and replace any prior agreement between the parties, except as otherwise set forth above.
